Terms of Use for Techiewisp

Preamble

Welcome to Techiewisp. These Terms of Use (“Terms”) govern Your access to and use of Our website, services, and AI Agentic System (collectively, the “Service”) provided by Tilelabs, represented by Founder and CEO Tonny Staunsbrink, (“Company,” “We,” “Us,” or “Our”), a Danish company with its registered office at Ibæk Strandvej 28A, 7100 Vejle, Denmark, CVR number: 27685137.

By accessing or using the Service, You (“You,” “User,” or “Customer”):

Acknowledge that You have read and understood these Terms.
Agree to be bound by these Terms.
Agree to Our Privacy Policy
Commit to comply with all applicable laws and regulations.
If You are entering into these Terms on behalf of a company or other legal entity, You represent that You have the authority to bind such entities to these Terms.
These Terms are designed to apply internationally, including to users in the United States and Europe. If You do not agree with any part of these Terms, You must not access or use the Service. We reserve the right to update these Terms at any time, and We will notify You of material changes via email or through the Service, providing at least 30 days’ notice where required by law.

1. Interpretation and Definitions

1.1 Interpretation

Words with initial capitalization have meanings defined below. These definitions apply whether in singular or plural form.

1.2 Definitions

Account: A unique account created for You to access the Service.
Affiliate: An entity that controls, is controlled by, or is under common control with a party (control means ownership of 50% or more of voting shares).
Authorized Users: Employees, agents, or contractors authorized by You to use the Service on Your behalf.
Content: Any text, data, or information You upload or provide through the Service.
Customer Data: Data inputted by You or on Your behalf, including domain information for Google Analytics configuration.
Service: The AI Agentic System provided by Techiewisp that automates the configuration of Google Analytics to track user activity on Your websites.
Subscription Term: The monthly period for which You subscribe to the Service.
You/Your: The individual or entity accessing the Service.

2. Description of the Service

Techiewisp provides a B2B AI Agentic System that automates the setup and configuration of Google Analytics for tracking user domains. The Service integrates with Google’s APIs and is available via Our Web app. We cannot guarantee perfect accuracy or uninterrupted access, as the Service relies on third-party systems like Google Analytics. You are responsible for ensuring Your use complies with Google’s terms and any applicable local laws.

Techiewisp is entitled but not obliged to extend and develop the functional scope of the Service. Techiewisp reserves the right to modify, remove or add functionality without notice. We will provide notice of any material changes either by e-mail or through the Service with at least 30 days notice, where required by law. New functionality may be added as an extension for a different payment tier.

2.1 Dependencies

The Service runs in part on Infrastructure Providers (Cloudflare and Stripe). In addition, the Techiewisp AI Agentic System transmits Your inputs, prompts, and related data to artificial intelligence systems, including large language models in order to generate code, content, or other outputs (Google Gemini). By using the Service, You consent to these transfers, processing, and storage.

2.2 Access and Right to Act on Your behalf

The Techiewisp Agentic System accesses Google Analytics to configure metrics and dimensions included in the Google Analytics features. By using the Service, You consent to allow Us to access Google Analytics and act on Your behalf in this regard.

3. Eligibility and Account Registration

You must be authorized to enter contracts in Your jurisdiction to use the Service. To access the Service, You must create an Account by providing accurate information. You are responsible for maintaining the confidentiality of Your Account credentials and for all activities under Your Account. Notify Us immediately of any unauthorized use.

4. Subscription and Payment Terms

The Service is provided on a subscription basis with monthly payments and no long-term commitment.

Subscription Fees: $20/monthly per user. Fees are non-refundable except as required by law.
Billing Cycle: Subscriptions are billed monthly in advance via Stripe provided payment options. You authorize recurring charges.
Currency: All fees are in US dollars (US$) unless otherwise specified.
Taxes:
- B2B Customers outside DK: Taxes are reverse-charged. You are solely responsible for accounting for and remitting VAT to the relevant tax authorities where required.
- B2C outside EU: You are solely responsible for accounting for and remitting VAT to the relevant tax authorities where required.
- All Other Customers: We charge tax according to Your country of residence, where applicable.
- No Long-Term Commitment: You may cancel at any time before the next billing cycle, the subscription will run to the end of the period; no refunds for partial months.
Non-Payment: If payment is not received within 7 days after the due date, We may suspend or terminate Your access to the Service without notice.
Price Changes: We may adjust fees with 30 days’ notice.

5. User Restrictions and Obligations

You agree to use the Service only for lawful purposes and in compliance with these Terms and applicable laws, including export controls and sanctions (e.g., US EAR or EU regulations). Prohibited actions include:

Reverse engineering, decompile, disassemble or otherwise attempt to access Our source code, models, documents or algorithms underlying Our Service
Uploading harmful content, viruses, or data that violates third-party rights.
Exceeding Authorized Users (limited to 1 per subscription unless upgraded).
Copy, modify, distribute, sell, lease, sublicense, or otherwise exploit the Services or Materials except as expressly permitted in these Terms.
Resell, provide, or make the Services available to any third party on a service bureau or time-sharing basis.
Share Your account credentials or allow unauthorized access to Your account.
Bypass or disable any security, usage or access controls.
Overload, disrupt or otherwise interfere with the normal functions of the Service.
Use automated tools such as bots, crawlers and scrapers to access or interact with Our Services without Our written permission.
Misrepresent AI output as human-generated in contexts, where it could cause harm or deception.
Use the Services in violation of applicable laws, regulations, export controls, or sanctions.
Use the Services, AI Output, or prompts to train, develop, or improve competing AI models.
Extract, reconstruct, or attempt to determine model Weights, training data, or system logic;

You grant Us a limited, worldwide license to use Your Customer Data to provide and improve the Service. We may use anonymized data for AI training, but We will not share identifiable data without consent.

6. Intellectual Property

We own all rights to the Service, including the AI Agentic System, software, and any improvements. You retain ownership of Your Customer Data. By using the Service, You grant Us a non-exclusive license to process Your data as needed. Feedback You provide becomes Our property.

7. Privacy and Data Security

Your privacy is important to us. Our Privacy Policy explains how We collect, use, and protect Your data, including through integrations with Google Analytics.

8. International Use

The Service is hosted in Google Cloud in US hosting centers and available worldwide, subject to export laws. You represent that Your use complies with all local laws, including US export controls and EU sanctions where applicable. We make no representations that the Service is appropriate for use in all locations. You are responsible for any import/export duties or restrictions.

For transfers of personal data from the EEA, UK, or Switzerland to the US (e.g., via Our hosting and payment providers), We rely on the EU-U.S. Data Privacy Framework (DPF), Swiss-U.S. DPF, and UK Extension to the EU-U.S. DPF, as certified by Google Cloud, Cloudflare, and Stripe. See Our Privacy Policy for details on safeguards. This may be subject to change based on hosting updates or legal developments.

9. Service Availability

9.1 Service Dependencies

We provide the Services, using a combination of Our own AI Agentic System and third-party providers (see section 2.1 Dependencies). Because We do not fully control these providers, We cannot guarantee the uninterrupted availability, performance, or security of the Services. You understand and agree that interruptions, delays, or errors may occur, and that We will not be responsible for issues caused by those providers or by events beyond Our reasonable control (including force majeure events).

9.2 Uptime and Support

We aim for 99.9% uptime to the extent it is in Our control, excluding scheduled maintenance (notified in advance). We will respond to support requests within 24 hours. We provide no warranties beyond this; the Service is “as is.”

10. Termination

By You: Cancel via Your Account; access ends at the end of the current billing cycle.
By Us: For breach (e.g., non-payment or breach of user restrictions and obligations), with or without notice, or if required by law.
Effects: Upon termination, access ceases, and We may delete Your data after 30 days (or longer if required by GDPR). No refunds for termination due to breach.

11. AI Use Disclaimer

The Services may use artificial intelligence models and Artificial Intelligence Agents, which in concert constitute an Artificial Intelligence Agentic System to generate code, content, or other outputs (“AI Output”). AI Output may contain errors, inaccuracies, or other issues and should not be relied upon without independent review and testing. You are solely responsible for reviewing, validating, and using any AI Output from Our AI Agentic System.

You assume full responsibility for Your use of AI Output and agree not to rely on it for critical or high-risk functions (including medical, legal, financial, or safety-related purposes) without appropriate safeguards. AI Output may be similar or identical to content generated for other users who submit similar prompts. We do not guarantee that AI Output will be unique, free of third-party rights, accurate, or suitable for any particular purpose.

12. Customer Data and Privacy

You agree not to upload, input, or otherwise provide any protected health information under HIPAA, or any other sensitive categories of data (such as financial account numbers, government identifiers, or biometric data). Our Services are not designed to handle that type of data, and We disclaim all responsibility if You choose to submit it.

13. Limitation of Liability

Our maximum liability is limited to fees paid in the prior 12 months. We are not liable for indirect damages (e.g., lost profits). Limitations apply to the fullest extent permitted by law (e.g., not excluding liability for gross negligence under Danish law or GDPR breaches).

14. Indemnification

You agree to indemnify Us against claims arising from Your use of the Service, including data breaches, IP infringements, or violations of privacy laws caused by You.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Kingdom of Denmark, without regard to conflict of laws principles. Any disputes arising from these Terms shall be resolved exclusively through binding arbitration in Copenhagen, Denmark, under the rules of the Danish Institute of Arbitration. Notwithstanding, We may seek injunctive relief in any court of competent jurisdiction. For EU consumers (if applicable, though this is a B2B service), this does not affect Your rights under EU consumer protection laws.

16. Miscellaneous

Entire Agreement: These Terms constitute the full agreement.
Severability: Invalid provisions do not affect others.
Assignment: We may assign these Terms without restriction; You may not without Our written consent.
Force Majeure: No liability for events beyond Our control.
Language: These Terms are in English; translations are for convenience only.
